Terms of Service

By creating an account, accessing, or using any part of the Take Action AI platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Cookie Policy. These Terms constitute a legally binding agreement between you and Horane Technologies LLC.

You must be at least 16 years of age to use the Service. By using the Service, you represent that you meet this age requirement.

To access course content and platform features, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the security of your password and account credentials
• Change your password on first login when required by the system
• Enable Multi-Factor Authentication (MFA) when prompted for enhanced security
• Promptly update your information if it changes
• Accept responsibility for all activity that occurs under your account

You must not share your account credentials with third parties. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

Take Action AI provides educational content focused on AI-powered development and vibe coding with agentic tools. Upon enrollment and payment, we grant you a limited, non-exclusive, non-transferable, revocable license to access and view the course content for your personal, non-commercial educational purposes.

You may not:

• Copy, reproduce, distribute, or publicly display course content
• Record, download (unless expressly permitted), or screen-capture course materials
• Share, resell, sublicense, or otherwise transfer access to course content
• Use course content to create competing products or services
• Remove or alter any copyright, trademark, or proprietary notices

No guarantee of outcomes: While our courses are designed to teach practical skills, we do not guarantee any specific results, career outcomes, income levels, or professional certifications from completing our courses. Individual results depend on many factors beyond our control.

The Service uses a virtual credit system (“Coins”) for all content purchases. All monetary transactions are processed securely through Stripe, a PCI-DSS Level 1 certified payment processor. By making any purchase, you agree to the following:

• Payment Processing: All payments are processed by Stripe Inc. Horane Technologies LLC does not store credit card numbers, CVVs, or sensitive payment credentials on its servers. Your payment data is handled entirely by Stripe in compliance with PCI-DSS standards.
• Subscription Billing: Coin subscription packages are billed on a recurring basis (monthly or annually, as selected). Your payment method will be automatically charged at the beginning of each billing cycle until you cancel. Coins from subscription renewals are credited to your account upon successful payment.
• Cancellation: You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of the current billing period. Coins already credited to your account remain available for use.
• Refund Policy: See Section 4a (Virtual Coins & Credits) for the unified refund policy that applies to all purchases on the platform.
• Price Changes: We reserve the right to modify Coin package pricing at any time. Active subscribers will be notified at least 30 days in advance of any price increase affecting their subscription. The value of Coins already in your account is not affected by price changes.
• Taxes: Prices displayed may be exclusive of applicable sales tax, VAT, GST, or other taxes imposed by your jurisdiction. You are solely responsible for any taxes applicable to your purchases. Tax amounts, if applicable, will be calculated and displayed at checkout.
• Chargebacks & Fraud: Initiating a fraudulent chargeback or payment dispute will result in immediate account suspension and forfeiture of all Coins and content access. We reserve the right to pursue recovery of losses through all available legal means.

Take Action AI uses a virtual credit system (“Coins”) to facilitate content purchases, gifting, and rewards within the platform. By purchasing, receiving, or using Coins, you agree to the following terms:

• Nature of Coins: Coins are digital credits that represent a limited, non-exclusive, non-transferable, revocable license to access content on the Take Action AI platform. Coins cannot be transferred between user accounts. You may purchase content access as a gift for another user (which debits your coins and grants them content access), but no coin value is transferred between accounts. Coins are NOT currency, securities, stored value, or any form of money. Coins have no cash value and cannot be redeemed for cash, exchanged on any marketplace, or transferred outside the Take Action AI platform.
• Coin Value: One (1) Coin equals one U.S. cent ($0.01 USD). One hundred (100) Coins equals one U.S. dollar ($1.00 USD). This exchange rate is fixed and determined solely by Horane Technologies LLC.
• Purchasing Coins: Coins may be purchased individually, in packages (which may include bonus Coins at our discretion), or through recurring subscription plans. Coin purchases are processed through Stripe. Upon successful payment, Coins are immediately credited to your account.
• Automatic Coin Purchases: When purchasing content (courses, modules, or lessons), if your Coin balance is insufficient, the system may prompt you to purchase the exact number of additional Coins needed. You must explicitly authorize any monetary transaction — no charges are made without your consent.
• Spending Coins: Coins may be spent on courses, modules, individual lessons, and other content offered on the platform. Once Coins are spent on content, that transaction is final and the Coins cannot be recovered. Content purchased with Coins is subject to the same access terms as content purchased directly with money.
• Gifting Coins: You may gift Coins to other registered users on the platform. Gifted Coins are deducted from your balance and credited to the recipient's balance. Gifting is voluntary, final, and non-reversible. You may not gift Coins as part of any commercial transaction, resale scheme, or exchange arrangement outside the platform.
• Bonus & Reward Coins: Horane Technologies LLC may, at its sole discretion, award bonus Coins for achievements, streaks, promotions, or other activities. Bonus Coins carry the same usage rights as purchased Coins but may not be eligible for monetary refund.
• Refund Policy (Universal): This is the sole refund policy governing all purchases on Take Action AI. (a) Full Refund: A full refund is available if requested within 24 hours of purchase AND no purchased Coins have been spent or gifted. (b) 14-Day Refund: Between 24 hours and 14 days after purchase, unspent purchased Coins may be refunded, subject to a processing fee equal to the greater of $0.50 or Stripe's transaction fees (2.9% + $0.30). (c) No Refund After 14 Days: After 14 calendar days from purchase, all Coin purchases are final and non-refundable. (d) Spent or Gifted Coins: Coins that have been spent on content or gifted to another user are non-refundable under any circumstances, regardless of when the purchase was made. (e) Bonus/Reward Coins: Coins earned through achievements, streaks, promotions, or admin grants have no monetary value and are never eligible for refund. (f) To request a refund, contact [email protected] with your account email and transaction details. Refunds are issued to the original payment method within 5-10 business days.
• EU/UK Right of Withdrawal: Under the EU Consumer Rights Directive (2011/83/EU) and UK Consumer Contracts Regulations 2013, consumers in the European Economic Area and United Kingdom have a 14-day right of withdrawal from online purchases. However, by purchasing Coins and consenting to immediate access at checkout, you acknowledge that: (a) you request the digital content (Coins) to be credited to your account immediately upon payment; (b) you acknowledge that once Coins are credited, the 14-day withdrawal period is waived pursuant to Article 16(m) of the Consumer Rights Directive; (c) for unspent purchased Coins, our standard 14-day refund policy above applies. The right to a refund of unspent coins within 14 days is provided regardless of whether the withdrawal right has been waived, as a platform guarantee that meets or exceeds the statutory minimum in all jurisdictions. This consent is collected at the point of purchase and recorded in your transaction history.
• Expiration: Purchased Coins do not expire as long as your account remains active and in good standing. Horane Technologies LLC reserves the right to implement expiration policies for promotional or bonus Coins, with at least 90 days' advance notice.
• Account Termination: If your account is terminated for violation of these Terms, any remaining Coin balance is forfeited. If you voluntarily close your account, unspent purchased Coins may be refunded at our discretion upon request within 30 days of closure.
• No Interest or Returns: Coin balances do not accrue interest. Horane Technologies LLC is not a bank, financial institution, or money services business. The Coin system is a prepaid content access mechanism only.
• Transaction Records: A complete history of all Coin transactions (purchases, spending, gifts, rewards) is maintained in your account and available for your review at any time. These records constitute the official ledger of your Coin activity.
• Modifications: Horane Technologies LLC reserves the right to modify the Coin system, including exchange rates, package offerings, bonus structures, and usage rules, with at least 30 days' advance notice to users. Coins already in your account at the time of any change will be honored at their original value for content purchases.
• Prohibited Conduct: You may not (a) sell, trade, or exchange Coins outside the platform; (b) use Coins for money laundering, fraud, or any illegal activity; (c) exploit bugs or errors to obtain Coins; (d) create multiple accounts to abuse promotional Coin offers; or (e) use automated means to accumulate or transfer Coins. Violation of these prohibitions will result in immediate account termination and forfeiture of all Coins.
• Regulatory Compliance: The Coin system is designed and operated in compliance with applicable consumer protection laws. Coins are not regulated as virtual currency, cryptocurrency, or stored value under applicable U.S. federal and state laws. If regulatory changes require modifications to this system, we will comply and notify users accordingly.

When using the Service, including forums and chat features, you agree not to:

• Violate any applicable laws or regulations
• Post or transmit harassing, threatening, defamatory, or obscene content
• Impersonate any person or entity
• Attempt to gain unauthorized access to other accounts, systems, or networks
• Upload malicious code, viruses, or any harmful software
• Scrape, crawl, or use automated tools to extract data from the Service
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service for any commercial purpose beyond your personal learning
• Circumvent or disable any security or access control features

We reserve the right to remove any content and suspend or terminate accounts that violate these conduct guidelines, at our sole discretion and without prior notice.

All content on the Service, including but not limited to course materials, text, graphics, logos, icons, images, audio, video, software, and code examples, is the property of Horane Technologies LLC or its licensors and is protected by United States and international copyright, trademark, and intellectual property laws.

The Take Action AI name, logo, and all related marks are trademarks of Horane Technologies LLC. You may not use our trademarks without prior written permission.

User Content: By posting content on forums or chat, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content within the Service. You retain ownership of your original content.

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not guarantee the accuracy, completeness, or usefulness of any course content. Technology and best practices in AI-powered development evolve rapidly; course content may not always reflect the most current tools or methods.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HORANE TECHNOLOGIES LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER IN AN ACTION IN CONTRACT, TORT, OR OTHERWISE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

You agree to indemnify, defend, and hold harmless Horane Technologies LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Any content you submit or post through the Service

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal proceedings arising from these Terms shall be brought exclusively in the state or federal courts located in Delaware.

Informal Resolution: Before filing any formal legal action, you agree to first attempt to resolve any dispute informally by contacting us at [email protected]. We will attempt to resolve the dispute within 60 days of receiving your notice.

Binding Arbitration: If informal resolution fails, any remaining dispute shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Delaware, and the arbitrator's decision shall be final and binding.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of any class, consolidated, or representative action.

We reserve the right to modify these Terms at any time. When we make material changes, we will update the “Last updated” date at the top of this page and notify registered users via email or an in-platform notification at least 30 days before the changes take effect.

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and close your account.

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination:

• Your right to access the Service and course content will cease immediately
• Any outstanding subscription payments remain due
• Provisions that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and dispute resolution) shall survive

You may terminate your account at any time by contacting us or using the account deletion feature in your dashboard.
